1. Acceptance of Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “Customer,” “you,” or “your”) and Micro Aegis International Technologies LLC (“MAIT,” “Company,” “we,” “us,” or “our”), governing your access to and use of the website located at mait.ae (the “Site”) and all software development, digital marketing, IT services, enterprise solutions, and related services we provide (collectively, the “Services”).

By accessing the Site, submitting a project inquiry, entering into a service agreement, or using any of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access the Site or engage our Services.

If you are entering into these Terms on behalf of a company, government body, or other legal entity, you represent and warrant that you have the authority to bind that entity.

2. About MAIT and Description of Services

Micro Aegis International Technologies (MAIT) is an Abu Dhabi-based technology company with over ten years of experience delivering smart, scalable, and secure technology solutions to businesses across the UAE and internationally.

MAIT is an authorized and certified distributor or reseller partner of Real Variable, eG Innovations, and Connectnow.ai. Through these partnerships and our own capabilities, we offer the following categories of Services:

2.1 Software and Application Development

  • Custom mobile application development (Android and iOS)
  • Corporate and business website design and development
  • Custom web application development
  • UI/UX design
  • Software maintenance and ongoing support

2.2 Digital Marketing and SEO

  • Search engine optimization (keyword research, on-page SEO, technical SEO, link building)

  • Custom VR experiences and immersive solutions for business and training applications

The specific scope, deliverables, timeline, and pricing for any engagement will be set out in a separate proposal, statement of work, or service agreement, which forms part of the binding agreement between you and MAIT.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into binding contracts to engage our Services. By using the Site or engaging our Services, you represent that you meet these requirements and that all information you provide is accurate, complete, and current.

4. Inquiries, Proposals, and Service Agreements

4.1 Inquiries. Submitting a project inquiry or contact form on the Site does not create a binding agreement. It represents an expression of interest only, and MAIT is under no obligation to proceed with any engagement unless and until a written agreement is executed by both parties.

4.2 Proposals and Quotations. Any proposal, quotation, or estimate provided by MAIT is valid for thirty (30) days from the date of issue unless otherwise stated. Proposals are based on the information and requirements provided at the time and are subject to revision if requirements change materially.

4.3 Service Agreements. A binding engagement is created only upon execution of a signed service agreement, statement of work, or written acceptance of a proposal by an authorized representative of MAIT. The terms of such agreement, together with these Terms, govern the delivery of the relevant Services.

4.4 Change Requests. Any changes to the agreed scope of work must be documented in a written change order approved by both parties before additional work commences. MAIT reserves the right to adjust timelines and fees accordingly for scope changes.

5. Fees, Payment Terms, and Invoicing

5.1 Fees. All fees for Services are as set out in the applicable proposal, quotation, or service agreement. Fees are stated in AED or USD, as agreed, and are exclusive of applicable UAE VAT unless otherwise noted.

5.2 VAT. Where applicable, UAE Value Added Tax (VAT) at the prevailing rate will be added to all invoices in accordance with UAE Federal Tax Authority regulations.

5.3 Payment Schedule. Payment terms will be specified in the relevant service agreement. For project-based engagements, payment is typically structured in milestones (e.g., a deposit on commencement and balance on delivery), unless otherwise agreed in writing.

5.4 Invoicing. MAIT will issue invoices in accordance with the agreed payment schedule. Invoices are due for payment within the number of days stated on the invoice (default: fourteen (14) days from the invoice date unless otherwise agreed).

5.5 Late Payment. Invoices not settled by the due date may accrue a late payment charge at a rate of 1.5% per month (or the maximum rate permitted under UAE law, whichever is lower) on the outstanding balance. MAIT also reserves the right to suspend ongoing Services — including hosting, maintenance, monitoring, and support — until all outstanding amounts are settled.

5.6 Disputed Invoices. Any dispute regarding an invoice must be raised in writing within seven (7) days of the invoice date. Undisputed portions of an invoice remain due and payable by the original due date.

5.7 Third-Party Costs. Unless explicitly included in the agreed scope, third-party costs — including domain registration, web hosting, software licenses, advertising spend, stock imagery, API subscriptions, or hardware — are the Client’s responsibility and will be invoiced separately at cost.

6. Client Responsibilities

To enable MAIT to deliver the Services effectively, you agree to:

  • Provide accurate, complete, and timely information, materials, assets, and feedback as reasonably required by the project
  • Designate an authorized point of contact responsible for approvals and decisions within your organization
  • Review and respond to drafts, proofs, or deliverables within the timeframe agreed in the service agreement (or within five (5) business days where no specific timeframe is stated)
  • Ensure that all content, data, and materials you provide to MAIT do not infringe any third-party rights (including intellectual property, privacy, or confidentiality rights)
  • Ensure timely payment of all fees in accordance with the agreed schedule
  • Comply with all applicable UAE laws and regulations in connection with your use of the Services and any deliverables

Delays caused by your failure to provide required materials, feedback, or approvals may result in project timeline extensions and, where such delays are sustained, may give rise to additional fees.

7. Intellectual Property

7.1 Deliverables. Upon receipt of full payment for a project or engagement, MAIT assigns to you ownership of the final deliverables specifically created for you under the relevant service agreement (such as a custom-built website or mobile application), to the extent such deliverables are original works created solely by MAIT for your engagement.

7.2 Pre-existing Works and Tools. MAIT retains all rights in its pre-existing intellectual property, including proprietary code libraries, frameworks, tools, processes, methodologies, templates, and know-how developed independently of your project. To the extent such pre-existing works are incorporated into your deliverables, MAIT grants you a non-exclusive, perpetual license to use them as part of the deliverables for your business purposes.

7.3 Third-Party Components. Certain deliverables may incorporate open-source software, third-party libraries, or licensed components. MAIT will disclose material third-party components where applicable; your use of such components is subject to their respective license terms.

7.4 Content Provided by Client. You retain ownership of all content, data, trademarks, and materials you provide to MAIT. You grant MAIT a limited license to use such materials solely for the purpose of delivering the Services.

7.5 Portfolio Rights. Unless you instruct otherwise in writing prior to project commencement, MAIT reserves the right to display completed work in its portfolio, case studies, and marketing materials, with appropriate attribution.

7.6 Reseller Products. Software and platform products distributed by MAIT as an authorized reseller (including eG Innovations, Real Variable, and Connectnow.ai products) are licensed to you by the respective vendor under the vendor’s own end-user license agreement. MAIT facilitates the resale and implementation of these products but does not own the underlying software.

8. Confidentiality

Both parties agree to treat as confidential all proprietary or sensitive information disclosed by the other party in connection with the Services (“Confidential Information”), including but not limited to business strategies, technical specifications, pricing, and client data. Neither party shall disclose the other’s Confidential Information to third parties without prior written consent, except as required by law or as necessary to engage approved subcontractors under equivalent confidentiality obligations.

This obligation of confidentiality shall survive termination of these Terms or any service agreement for a period of three (3) years.

9. Third-Party Partners, Vendors, and Subcontractors

MAIT operates as an authorized reseller and implementation partner of eG Innovations, Real Variable, and Connectnow.ai. Products distributed under these partnerships are subject to the respective vendor’s licensing, support, and warranty terms, which will be provided to you as part of your engagement.

MAIT may engage trusted subcontractors or overseas delivery teams to assist in delivering the Services. MAIT remains responsible for the quality of deliverables and for ensuring subcontractors comply with applicable confidentiality obligations.

The Site may also contain links to third-party websites or tools. MAIT does not control and is not responsible for the content, security, or practices of third-party sites.

10. Website Use and Acceptable Conduct

When accessing the Site, you agree not to:

  • Attempt to gain unauthorized access to MAIT’s systems, servers, or data
  • Use automated tools (bots, scrapers) to extract content from the Site without prior written consent
  • Submit false, misleading, or fraudulent information through any contact or inquiry form
  • Use the Site for any unlawful purpose, including in violation of UAE Cybercrime Law (Federal Law No. 5 of 2012 and its amendments)
  • Upload or transmit malicious code, viruses, or any material that could harm the Site or other users

11. Warranties and Disclaimer

MAIT warrants that it will perform the Services with reasonable skill, care, and professionalism, in accordance with the agreed scope and industry standards.

Except as expressly stated in a service agreement, ALL SERVICES AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MAIT DOES NOT WARRANT THAT THE SITE OR ANY DELIVERABLE WILL BE ERROR-FREE OR MEET ANY SPECIFIC PERFORMANCE BENCHMARKS NOT EXPRESSLY AGREED IN WRITING.

12. Limitation of Liability

12.1 Liability Cap. To the maximum extent permitted by applicable UAE law, MAIT’s total liability arising out of or related to any engagement shall not exceed the total fees paid by you to MAIT in respect of the specific project or service giving rise to the claim.

12.2 Exclusion of Consequential Damages. In no event shall MAIT be liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of business, loss of data, or reputational harm, even if MAIT has been advised of the possibility of such damages.

12.3 Force Majeure. MAIT shall not be liable for delays or failures in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, power outages, internet service disruptions, government action, strikes, or pandemics.

12.4 Exceptions. Nothing in these Terms limits liability for fraud, willful misconduct, or any liability that cannot be excluded under UAE law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MAIT, its officers, employees, and partners from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from: (a) your breach of these Terms or any service agreement; (b) materials or content you provide to MAIT that infringe third-party rights; (c) your violation of applicable law; or (d) your misuse of any deliverable or Service.

14. Termination

14.1 Termination by Either Party. Either party may terminate a service agreement upon thirty (30) days’ written notice, unless a shorter or longer notice period is specified in the agreement.

14.2 Termination for Cause. Either party may terminate immediately upon written notice if the other party materially breaches the agreement and fails to remedy the breach within fourteen (14) days of written notice of such breach.

14.3 Effect of Termination. Upon termination, you shall pay all amounts due for work completed up to the date of termination. MAIT shall deliver all completed and partially completed work product to you upon receipt of such payment. Sections 7, 8, 12, 13, and 15 of these Terms will survive termination.

15. Governing Law and Dispute Resolution

These Terms and any service agreements between you and MAIT are governed by the laws of the United Arab Emirates, as applied in the Emirate of Abu Dhabi, without regard to conflict of laws principles.

Any dispute arising out of or in connection with these Terms or any service agreement shall first be subject to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days of written notice of the dispute, it shall be referred to and finally resolved by arbitration in accordance with the rules of the Abu Dhabi Commercial Conciliation and Arbitration Centre (ADCCAC), seated in Abu Dhabi, UAE. Either party may seek injunctive or interim relief from the competent courts of Abu Dhabi where necessary to prevent irreparable harm pending the outcome of arbitration.

16. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page will reflect the most recent revision. Material changes will be communicated to active clients via email. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, and all remaining provisions will continue in full force and effect.

18. Entire Agreement

These Terms, together with any applicable proposal, statement of work, or service agreement, constitute the entire agreement between you and MAIT with respect to the Services and supersede all prior communications, representations, or understandings, whether written or oral.
